What is a VAT group?
The Implementing Regulations allow two or more legal persons resident in the Kingdom to register as a single VAT group where 50% or more of the capital, voting rights or market value of each is owned, directly or indirectly, by the same person or persons, or where one of them has effective control over the others.
The group is treated as a single taxable person with one VAT number; the representative member files a single return for it, and supplies between its members are outside the scope of the tax.
Eligibility after the 2025 amendments
The amendments to the Implementing Regulations issued by ZATCA Board Resolution No. (01-06-24) tightened the membership conditions, and existing groups were given until 15 October 2025 to comply. The main points are:
- Each member must carry on an economic activity and be eligible to register on its own, where previously it was enough for one member to do so. Dormant companies cannot join, and holding companies can join only if they are required or eligible to register.
- A member must not be licensed in a special zone with customs suspension status, nor be a member of another group.
- A member must not be a person eligible for refunds under Article 70, subject to specific exceptions.
- The conditions must continue to be met throughout the registration, and an agreement between the members setting out each member's obligations must be attached.
When is it the right choice?
- Significant internal transactionsShared services, management fees, intercompany rents and recurring operational supplies on which tax is charged and then deducted, with the burden that places on cash flow and compliance.
- A member making exempt suppliesSuch as residential leasing or certain financial services, and receiving services from group companies. Outside a group, tax is charged on the full value of those services, including costs that carry no tax such as salaries, and becomes a cost for the member that cannot deduct it. Inside a group, no tax is charged on the internal transaction, and the non-deductible tax is limited to the share of the group's external purchases attributable to exempt supplies.
- Simpler complianceOne return instead of several, and fewer offsetting intercompany balances of tax payable and receivable.
What to weigh against it
- Joint liability: every member is liable for the group's tax and penalties during its membership, so weak compliance in one member becomes a risk for all of them, including when a member is sold in future.
- Group-level apportionment: if one member makes exempt supplies, shared costs are apportioned at group level, which may reduce what the other members can deduct. ZATCA may approve alternative methods that reflect actual use.
- Operating requirements: consolidating data into one return, shared internal controls, invoices showing the group's VAT number, and corrections made at group level.
- Leaving: when a member leaves, its own VAT number is reactivated, and deemed supplies may arise on certain assets.
- ZATCA's powers: ZATCA may cancel a group's registration if it produces tax advantages contrary to the law, and may require persons to register as a group to prevent avoidance.
Procedure and timing
The representative member submits the application with evidence of its appointment, and ZATCA decides it within twenty days. Registration usually takes effect from the first day of the month following approval, unless the approval notice sets another date. ZATCA must be notified within twenty days of any change in the group's details, or of a member ceasing to be eligible.
How to decide
The decision is fundamentally numerical: map the internal flows and their value, estimate the non-deductible tax that grouping would remove, and compare it with the effect of group-level apportionment and the cost of combined compliance. A qualitative assessment then follows, of each member's compliance record and of future plans such as selling a subsidiary or admitting a partner, because joint liability is not measured in numbers alone.
